Why incorporate in Saskatchewan?

For a business based in Saskatchewan, a provincial corporation is the simplest structure. You get limited liability, a 1% provincial rate on active business income up to a $600,000 provincial business limit (higher than most provinces' $500,000), and modest government fees. Directors don't need to be Canadian residents. If you'll also operate in Alberta, BC or Manitoba, the New West Partnership simplifies registering there.

How to incorporate in Saskatchewan: step by step

Step 1: Choose a name, or go numbered

A corporate name needs a distinctive element, a descriptive element and a legal ending such as Ltd., Inc. or Corp. If you'd rather operate as a numbered company, you don't need to choose a name: simply start the registration.

Step 2: Reserve the name with ISC ($50)

Request the name through the ISC Corporate Registry online. If it's available, it's automatically reserved for 90 days, and you must incorporate within that time. To see conflicts before you apply, many founders order a Saskatchewan NUANS report first; our Saskatchewan NUANS guide explains it.

Step 3: Create an ISC Corporate Registry account

Filings are made online through the ISC Corporate Registry portal. You need an account to submit and pay, or a service provider can file for you.

Step 4: Prepare the articles and corporate details

You'll set out the share classes and any restrictions on share transfers, the number of directors, any restrictions on the business, the registered office address in Saskatchewan, and the first directors.

Step 5: Submit and pay $255

Submit the incorporation online and pay the $255 fee. If you're on a deadline, priority service ($500 plus the filing fee) aims to process within one business day.

Step 6: Organize the corporation and register for taxes

Adopt by-laws, issue shares, appoint officers and set up the minute book. Register for GST with the CRA once taxable revenue passes $30,000 over four consecutive quarters, and for Saskatchewan PST (6%) if you sell taxable goods or services. Add a payroll account before hiring.
