Terms of Service
Last updated: 14 June 2026
These terms govern your use of the OpenCompany website and services, operated by CBES Group. By placing an order or using our site, you agree to them.
What we do
OpenCompany helps you prepare and file business registrations in Canada — incorporation, NUANS name searches, partnerships, extra-provincial registration, and related registry filings. We act as a filing agent and preparer. Our work is supervised by a professional lawyer, but unless you separately engage us for legal services, we do not provide legal, tax, or accounting advice, and using our service does not create a solicitor–client relationship.
Eligibility & your information
You must be at least 18. You are responsible for the accuracy and legality of the information you provide (names, addresses, share structure, etc.). Government registries may reject or delay filings based on the information supplied; we are not responsible for outcomes caused by inaccurate or incomplete details.
Pricing, fees & taxes
All prices are shown in Canadian dollars (CAD). Your total may include our service fee, government/third-party fees (e.g. registry and NUANS fees), and applicable taxes such as HST. The exact total — taxes included — is shown before you pay.
Payment & when we start
Payments are processed securely by Stripe. We begin preparing and filing your order once payment is received. Filing turnaround times are estimates and depend on the relevant government registry; we cannot guarantee a specific processing time or that a registry will approve a given name or filing.
Refunds
Refunds are governed by our Refund Policy. In short: service fees may be refundable before work begins, while government/third-party fees become non-refundable once incurred or submitted.
Intellectual property
The website, its content, and branding are owned by us or our licensors and may not be copied or reused without permission. Documents we prepare for you, once paid for, are yours to use for your business.
Disclaimers & limitation of liability
Our services and website are provided “as is”. We do not warrant that a registry will approve any name or filing. To the maximum extent permitted by law, our total liability for any claim arising from your use of our services is limited to the amount you paid us for the order in question. We are not liable for indirect or consequential losses.
Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there.
Changes
We may update these terms from time to time. The “last updated” date above reflects the current version; continued use of our services means you accept the updated terms.
