Why incorporate in Alberta?
Alberta combines a low tax environment with a straightforward incorporation process. The provincial small business rate is 2%, the general corporate rate is 8%, and there is no provincial sales tax: only the 5% GST applies. Since March 29, 2021 Alberta corporations have had no Canadian residency requirement for directors, so they can be run by founders living anywhere.
If you'll also operate in BC, Saskatchewan or Manitoba, Alberta corporations can register in those provinces through the New West Partnership process. For a Canada-wide brand, compare with federal incorporation.
How to incorporate in Alberta: step by step
Step 1: Choose a name with three elements
An Alberta corporate name has a distinctive element ("ABC"), a descriptive element ("Building Supplies") and a legal element ("Ltd."). Accepted legal elements include Limited, Ltd., Incorporated, Inc., Corporation, Corp. and their French forms, plus ULC for unlimited liability corporations. You can instead use a number name such as 1234567 Alberta Ltd., assigned by Corporate Registry.
Step 2: Get an Alberta NUANS report
For a word name, order an Alberta NUANS report and check that no corporation has an identical or confusingly similar name. Identical corporate names aren't allowed. The report reserves the name for 90 days and must be less than 91 days old when you incorporate. Number names don't need one. Order an Alberta NUANS report or read our Alberta NUANS guide.
Step 3: Prepare the Articles of Incorporation
The Articles set out the name, share classes and any limits on issuing shares, restrictions on share transfers, the number of directors and any restrictions on the business. A Notice of English/French Name Equivalency is optional.
Step 4: Record the corporation's addresses
The registered office must be a physical location in Alberta where legal documents can be delivered. If the records address is different, it must also be in Alberta. Add an Alberta mailing address if mail isn't delivered to the registered office. These go on the Notice of Address.
Step 5: Name at least one director
Record at least one director, who must be an adult, on the Notice of Directors. Directors can live anywhere.
Step 6: Appoint an agent for service
Alberta requires an agent for service: an individual located in Alberta who can accept notices and legal documents for the corporation in person or by mail. The agent doesn't have to be a lawyer but must consent to the appointment, and you can name an alternate. This is filed on the Notice of Agent for Service.
Step 7: Submit through a registry agent or service provider
Bring or send the forms, the NUANS report, valid ID and payment to a registry agent or authorized service provider. They enter the incorporation into the Corporate Registry system and issue your Certificate of Incorporation; you'll get an email when your federal Business Number is issued.
Step 8: Organize the corporation and register for taxes
Adopt by-laws, issue shares, appoint officers and set up the minute book and registers. Register for GST once taxable revenue passes $30,000 over four consecutive quarters, add a payroll account before hiring, and open a business bank account.
